1. Agreement to Terms

These Terms of Service ("Terms") govern your use of DocuMindly, a service operated by Life Orbit Labs LLC ("Life Orbit Labs", "we", "us", or "our"), incorporated in Delaware, USA.

By accessing or using DocuMindly, you agree to be bound by these Terms. If you disagree with any part of these terms, you may not access the service.

2. Description of Service

DocuMindly is a document management platform that provides:

  • Secure cloud storage for documents
  • AI-powered document analysis and insights
  • Smart reminders for important dates
  • OCR text extraction from images and PDFs
  • Cross-platform access (web and mobile)

3. Account Registration

To use DocuMindly, you must create an account. You agree to:

  • Provide accurate and complete information
  • Maintain the security of your password
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized access

Age Requirement: You must be at least 18 years old to use this service. By creating an account, you confirm that you meet this age requirement.

4. Subscription and Payments

DocuMindly offers a free trial period and paid monthly subscription plans:

  • Free Trial: 30-day trial with limited features (5 AI suggestions, 10 documents max)
  • Basic Plan: $4.99/month - Enhanced features and storage
  • Premium Plan: $11.99/month - Enhanced features, storage and priority support

Payments are processed securely through Stripe. Subscriptions automatically renew on a monthly basis unless cancelled before the next billing date.

4.1 Cancellation and Refund Policy

How to Cancel

  • You may cancel your subscription anytime through your account settings
  • Alternatively, email support@documindly.com with your cancellation request
  • Cancellation takes effect at the end of your current billing period

Monthly Subscription Refunds

  • Standard policy: No refunds for the current billing month once charged
  • After cancellation, your service remains active until the end of the paid period
  • No further charges occur after cancellation
  • Exception: Refunds may be issued at our discretion for technical issues or billing errors

Free Trial Expiration

  • The trial period lasts 30 days from account creation
  • No automatic conversion to paid plan - you must manually upgrade
  • After trial expires, your account becomes read-only:
    • You cannot view and download your existing documents
    • You cannot upload new documents or use AI features
    • No new reminders can be created
  • Your data remains safe and accessible - upgrade anytime to restore full access
  • No cancellation needed - trial simply expires without charges

No Refund Conditions

  • Violations of these Terms of Service
  • Account termination due to abuse, illegal activity, or prohibited use
  • Services already consumed (e.g., AI analysis quota already used)
  • Subscriptions older than 30 days (no retroactive refunds)

Refund Processing

If a refund is approved, it will be processed within 5-10 business days to the original payment method used for the subscription.

5. User Content and Your Responsibilities

5.1 Content Ownership and License

You retain all ownership rights to documents and content you upload to DocuMindly. By uploading content, you grant us a limited, non-exclusive license to store, process, and display your content solely to provide the service.

5.2 Your Content Responsibilities

YOU ARE SOLELY RESPONSIBLE for all content you upload to DocuMindly. You represent and warrant that:

  • You have the legal right to upload and share all content
  • Your content does not violate any laws, regulations, or third-party rights
  • Your content does not contain illegal material, malware, or harmful code
  • You have obtained all necessary consents and permissions for any personal data of others contained in your documents
  • You comply with all applicable data protection laws (GDPR, CCPA, etc.) regarding any personal data you upload

5.3 Prohibited Content

You agree NOT to upload or share content that:

  • Contains child exploitation material or endangers minors
  • Infringes intellectual property rights (copyrights, trademarks, trade secrets)
  • Contains personal data of others without their explicit consent
  • Promotes illegal activities, violence, or terrorism
  • Contains malware, viruses, or malicious code
  • Violates any applicable laws or regulations in your jurisdiction

5.4 Content Monitoring and Removal

We do not proactively monitor the content you upload. However, we reserve the right to:

  • Remove content that violates these Terms or applicable law
  • Suspend or terminate accounts that repeatedly violate these Terms
  • Report illegal content to appropriate authorities as required by law
  • Cooperate with law enforcement investigations

5.5 Acceptable Use of Service

You also agree NOT to:

  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Interfere with the service's operation or security measures
  • Use the service for automated or bulk operations without permission
  • Reverse engineer, decompile, or attempt to extract source code
  • Resell or redistribute the service without authorization

5.6 Consequences of Violation

Violation of these content policies may result in:

  • Immediate removal of violating content
  • Suspension or permanent termination of your account without refund
  • Legal action and reporting to authorities
  • Liability for any damages caused by your violations

6. Our Intellectual Property

The DocuMindly platform, including its design, features, code, trademarks, and logos, is owned by Life Orbit Labs LLC and protected by copyright and intellectual property laws.

You may not copy, modify, distribute, or create derivative works without our explicit written permission.

7. Data and Privacy

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy.

We implement industry-standard security measures to protect your data, including encryption at rest and in transit.

8. Termination

You may terminate your account at any time through your account settings. We may suspend or terminate your account if you violate these Terms or engage in fraudulent activity.

Upon termination, you may export your data within 30 days. After this period, your data will be permanently deleted.

9. Warranties and Limitation of Liability

9.1 Service "As Is"

Life Orbit Labs LLC provides DocuMindly "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including but not limited to:

  • Warranties of merchantability or fitness for a particular purpose
  • Warranties that the service will be uninterrupted, secure, or error-free
  • Warranties regarding the accuracy or reliability of AI-generated content
  • Warranties that your content will not be lost, corrupted, or accessed by unauthorized parties

9.2 Security and Data Protection

While we implement industry-standard security measures to protect your data:

  • We cannot guarantee absolute security against all threats
  • You acknowledge that internet transmission is never 100% secure
  • We are not liable for unauthorized access resulting from circumstances beyond our reasonable control
  • You are responsible for maintaining secure backups of critical documents

9.3 Exclusion of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Life Orbit Labs LLC and its officers, directors, employees, and agents SHALL NOT BE LIABLE FOR:

  • Loss of data or content - even if we have been advised of the possibility
  • Service interruptions, downtime, or degraded performance
  • Data breaches caused by third-party attacks or zero-day vulnerabilities
  • Damages arising from your content or violation of these Terms
  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, business opportunities, or reputation
  • Third-party claims related to your use of the service

9.4 Liability Cap

Our maximum total liability for all claims arising from or related to the service is limited to the greater of:

  • The amount you paid us in the 12 months preceding the claim, OR
  • $100 USD

9.5 Jurisdictional Variations

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for incidental or consequential damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

9.6 Your Indemnification

You agree to indemnify, defend, and hold harmless Life Orbit Labs LLC from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your use or misuse of the service
  • Your content or violation of third-party rights
  • Your violation of these Terms or applicable laws
  • Any unauthorized access to your account resulting from your failure to maintain security

10. Changes to Terms

We may update these Terms from time to time. We will notify you of significant changes via email or through the service. Continued use after changes constitutes acceptance of the new Terms.

11. Dispute Resolution and Governing Law

11.1 Informal Resolution

Before filing any formal claim, you agree to first contact us at support@documindly.com to attempt to resolve the dispute informally. We commit to responding within 5 business days and working in good faith to reach a resolution.

11.2 Governing Law

These Terms are governed by the laws of Delaware, USA, without regard to conflict of law provisions.

11.3 Arbitration (US Users)

For users residing in the United States, any disputes that cannot be resolved informally will be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

  • Arbitration will be conducted in Delaware or remotely by videoconference
  • Each party will bear its own costs and fees
  • Arbitrator's decision is final and binding
  • Class Action Waiver: You agree to resolve disputes individually, not as part of a class action (except where prohibited by law)

11.4 EU/UK Users

If you are a consumer residing in the European Union or United Kingdom:

  • You may bring claims in the courts of your country of residence
  • You may use the EU Online Dispute Resolution platform: https://ec.europa.eu/consumers/odr
  • Nothing in these Terms affects your statutory consumer rights under EU law

11.5 Turkish Users

If you are a consumer residing in Turkey:

  • You may file complaints with your local Tüketici Hakem Heyeti (Consumer Arbitration Committee) for disputes under the applicable monetary threshold
  • These Terms do not limit your rights under Turkish Consumer Protection Law (Law No. 6502)

11.6 Venue

For any disputes not subject to arbitration or consumer protections above, exclusive venue shall be the state and federal courts located in Delaware, USA.
